1. General Provisions: These terms of use (Agreement) apply to users of the this website (Website) and related products and services (Services). By using the Website and Services, the user (User) agrees to be bound by the terms of this Agreement. If the User doesn’t have the authority or doesn’t agree with the terms, they cannot use the Website and Services. This Agreement is legally binding between the User and Recompensa Fiscal Online (RFO) and governs the User’s use of the Website and Services.


2. Payments and Fees: The User must pay all fees and charges according to the terms in effect when they’re due. If a service is offered as a free analysis, payment may be required after the analysis is provided. RFO reserves the right to change products and pricing at any time and refuse any order.


3. Inaccuracies and Information Update: There may be inaccuracies in information on the Website, such as typos, errors, or omissions in product descriptions, pricing, availability, promotions, and offers. RFO reserves the right to correct these errors and update information at any time without notice.

Intellectual Property Rights: Intellectual Property Rights include all present and future rights related to copyrights, trademarks, designs, patents, inventions, goodwill, and other intellectual property rights, whether registered or unregistered. This Agreement doesn’t transfer any intellectual property owned by RFO or third parties to the User.


7. Disclaimers: The Service is provided “as is” and “as available”. The User use the Website and Services at the User’s own risk. RFO denies all warranties, whether expressed or implied, including but not limited to merchantability, fitness for a specific purpose, and non-infringement. RFO does not guarantee that the Services will meet the User’s needs, be uninterrupted, timely, secure, or error-free, or that the results of the Services will be accurate and reliable. RFO provides no warranty for goods or services purchased through the Services or transactions made through the Services unless stated otherwise. Any advice or information obtained from RFO or the Services will not create a warranty.


8. Limitation of Liability: To the fullest extent allowed by law, RFO, its affiliates, directors, officers, employees, agents, suppliers, and licensors will not be held responsible for any

indirect, incidental, special, punitive, or consequential damages resulting from the use of the Services. The liability of RFO and its affiliates, officers, employees, agents, suppliers, and licensors will be limited to the greater of one dollar or the amount paid to RFO in the last month before the event causing the liability.


9. User Responsibility: The User agrees to protect RFO and its affiliates, directors, officers, employees, agents, suppliers, and licensors from any liabilities, losses, damages, or costs, including reasonable attorney fees, that result from third-party allegations, claims, actions, disputes, or demands related to the User’s use of the Website and Services or any misconduct on the User’s part.


10. Legal Validity: This Agreement’s rights and restrictions will only be valid if they follow applicable laws and are limited enough to not render the Agreement illegal, invalid, or unenforceable.


11. Governing Law: This Agreement and any disputes arising from it will be governed by the laws of Arizona, United States and federal laws, without regard to conflict of law rules. Actions related to the Agreement will only be dealt with in courts located in Arizona, United States, and the User agree to their personal jurisdiction.


12. No Assignment: The User may not assign, sell, sub-license, or transfer the User’s rights or obligations under this Agreement without RFO’s written consent. RFO may assign their rights or obligations under this Agreement to any third party as part of a sale of assets or stock or a merger.


13. Modification: RFO may modify this Agreement at any time by posting an updated version on the Website. The User’s continued use of the Website and Services after any changes constitutes the User’s acceptance of the changes.


14. User Acknowledgement: By accessing and using the Website and Services, the User acknowledges that the User has read this Agreement and agree to all its terms. If the User do not agree, do not use the Website and Services.


15. Information Analysis: RFO will analyze the information provided during the submission process to generate the User’s ERC analysis. The User must certify that all information is accurate and agrees to not hold RFO responsible for any inaccuracies. RFO will keep records of all responses received during the submission process and any additional information received later.


16. Services and Fees: RFO helps clients file for ERC tax credits under the CARES act and charges reasonable fees for their services. RFO offers a free discovery process to determine the client’s eligibility for credits before providing services. If no credits are qualified for, no fees will be charged and deposits will be returned.


17. Tax Work: This agreement covers RFO’s tax work which may include navigating laws, filing, and financial forecasting. RFO aims to find the best tax opportunities for the client.


18. Confidentiality: RFO needs access to the client’s information for their work. The client must provide all information and RFO will keep it confidential. RFO will return and remove all client information upon request.


19. Tax Advice: RFO’s tax advice is based on tax law to the best of their knowledge. If new laws or case rulings are issued, RFO follows them. RFO will explain any tax law to the client and will not proceed without their understanding and consent.


20. Audit Assistance: In the event of an audit, RFO will provide documentation and assistance to the client, unless otherwise specified in the agreement. RFO cannot guarantee audit results, but will provide lawful explanation, documentation, and work with the client to achieve favorable results.


21. Error Correction: If an error is found in the services provided by RFO, they will immediately inform the client and provide a solution. If the error was made by RFO, they will fix it without charging extra fees. If the error was caused by the client’s omission or refusal to provide information, terms of resolution may need to be negotiated.


22. Tax Responsibility: The client is responsible for paying taxes unless RFO provides deposit services. RFO will take all best efforts to ensure the required documentation is in order for timely payment or refund.


23. Commitment to Client: RFO is committed to doing what is best for the client. They will reduce the client’s tax liability through legal means and act prudently to protect and assist the client’s success.


By using the services of RFO, the client agrees to these terms and conditions. Any changes or updates to these terms and conditions will be posted on the RFO website.
